1. Acceptance of Terms

By accessing or using this website (bentacrochet.com), submitting an inquiry, or entering into a manufacturing agreement with BENTA Garment Co., Ltd. ("BENTA", "we", "us", or "our"), you ("the Client", "Buyer", or "Brand Partner") agree to be bound by these Terms of Use. These terms apply to all B2B visitors, prospective buyers, and existing manufacturing partners.

If you do not agree to these terms, please discontinue use of this website immediately.

2. Nature of Business

BENTA operates exclusively as a business-to-business (B2B) OEM & ODM manufacturer. This website is intended solely for:

Fashion brands and retailers seeking custom manufacturing
Wholesale buyers and sourcing agents
Brand owners requiring private label production

This website does not offer retail sales to individual consumers. All orders are subject to minimum order quantities (MOQ) as stated in your quotation.

3. Quotations & Orders

All quotations provided by BENTA via email, WhatsApp, or this website are valid for 30 days from the date of issue unless otherwise stated.
A quotation does not constitute a binding contract. A manufacturing agreement is only confirmed upon receipt of a signed Purchase Order (PO) and agreed deposit payment.
BENTA reserves the right to decline any order at its discretion.
Order specifications (yarn, color, size, construction, quantity) must be confirmed in writing before production commences. Verbal agreements are not binding.

4. Minimum Order Quantity (MOQ)

Standard MOQ is 500 pieces per style per color.
MOQ requirements may vary depending on product complexity, yarn availability, and production scheduling.
MOQ exceptions are subject to BENTA's sole discretion and must be confirmed in writing.

5. Sampling

Sample development fees apply and will be quoted on a per-project basis.
Sample fees may be refunded or credited against bulk order payment upon confirmation of production, as agreed in writing.
BENTA retains the right to use non-branded sample garments for portfolio and marketing purposes unless otherwise agreed in writing.
Approved samples serve as the production standard. Any deviation from approved samples must be reported within the quality inspection window.

6. Intellectual Property

Designs, tech packs, patterns, and artwork submitted by the Client remain the intellectual property of the Client.
BENTA will not reproduce, share, or use Client-provided designs for any third party without written consent.
Original designs developed by BENTA's in-house design team remain the intellectual property of BENTA until a design development fee has been paid in full, at which point ownership transfers to the Client as agreed in writing.
The Client warrants that any designs, logos, or artwork provided to BENTA do not infringe upon third-party intellectual property rights. BENTA accepts no liability for IP infringement claims arising from Client-supplied designs.

7. Confidentiality

Both parties agree to keep all business communications, pricing, design files, and proprietary information shared during the course of their partnership strictly confidential. This obligation survives the termination of any manufacturing agreement.

8. Payment Terms

Standard payment terms are 30% deposit upon order confirmation, 70% balance before shipment, unless otherwise agreed in writing.
BENTA accepts payment via T/T (bank transfer), PayPal (for sample fees), and other methods as agreed.
BENTA reserves the right to hold shipment until full payment is received.
Late payments may incur a handling fee as specified in the invoice terms.

9. Production & Lead Times

Quoted lead times are estimates based on current production scheduling and are not guaranteed unless explicitly confirmed in writing.
BENTA will notify the Client promptly of any delays caused by material shortages, force majeure events, or other circumstances beyond our control.
BENTA is not liable for losses arising from production delays caused by late Client approvals, incomplete artwork, or delayed deposit payments.

10. Quality Control & Inspection

All bulk production is inspected under AQL 2.5 standards in accordance with our ISO 9001, ISO 14001, ISO 45001, and BSCI-certified processes.
The Client is entitled to arrange third-party factory inspection at their own cost with advance written notice.
Quality claims must be raised in writing within 14 days of goods receipt, supported by photographic evidence and packing list reference.
Claims raised after this window, or for issues resulting from improper handling after delivery, will not be accepted.

11. Shipping & Risk of Transfer

BENTA ships via DHL Express, sea freight, or the Client's nominated freight forwarder.
Risk of loss and title to goods transfers to the Client upon handover to the freight carrier (Ex-Works or FOB Yantian/Guangzhou, as agreed).
BENTA is not responsible for customs clearance, import duties, or delays caused by the freight carrier or customs authorities in the destination country.

12. Limitation of Liability

BENTA's total liability to the Client for any claim arising from a manufacturing agreement shall not exceed the total value of the specific order to which the claim relates. BENTA is not liable for indirect, consequential, or loss-of-profit damages under any circumstances.

13. Website Content Disclaimer

Product images, specifications, and capability descriptions on this website are provided for reference purposes only. Final production specifications are confirmed through the quotation and sampling process.
BENTA reserves the right to update website content, pricing guidance, and capability information at any time without prior notice.
This website may contain links to third-party resources for reference. BENTA is not responsible for the content or accuracy of external websites.

14. Governing Law

These Terms of Use and any disputes arising from them shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes that cannot be resolved through good-faith negotiation shall be submitted to the competent courts of Dongguan, Guangdong Province, China.

15. Amendments

BENTA reserves the right to update these Terms of Use at any time. The revised version will be effective upon posting to this website. Continued use of this website or ongoing business with BENTA following any update constitutes acceptance of the revised terms.
